Neuralmoon Photon Software License Agreement and Terms of Use

 

Effective date: 24 July 2026

 

This Agreement governs your installation and use of Neuralmoon Photon. Please read it before installing the Software.

 

1. Definitions

 

  • "Agreement" means this Neuralmoon Photon Software License Agreement and Terms of Use.

  • "Neuralmoon," "we," "us," and "our" mean Neuralmoon (GEORGIOS ZAMPOUKIS TOU IOANNI).

  • "Photon" or the "Software" means Neuralmoon Photon and the proprietary components supplied with it.

  • "Activation" means an active licensing record that associates a product key with a particular operating-system user and device identifier.

  • "Device" means a computer on which Photon is installed or used.

  • "Order Confirmation" means the purchase receipt, checkout confirmation, invoice, or other document identifying the license you acquired.

  • "Third-Party Components" means software, data, fonts, profiles, and other materials supplied with Photon under third-party or open-source terms.

  • "Consumer" means an individual acting mainly for purposes outside their trade, business, craft, or profession.

 

2. Acceptance and scope

 

By selecting I Agree, installing, or using Photon, you agree to this Agreement. If you do not agree, do not install or use the Software.

 

Your Order Confirmation and any mandatory information provided at checkout also apply. If this Agreement conflicts with your Order Confirmation about the purchased product, license duration, or number of Activations, the Order Confirmation controls for that matter. Mandatory law and the separate licenses governing Third-Party Components always take precedence where applicable.

 

If you install or use Photon for an organisation, you confirm that you have authority to bind that organisation to this Agreement.

 

3. License grant and duration

 

Subject to this Agreement and payment of the applicable price, Neuralmoon grants you a limited, non-exclusive license to:

 

  • Install Photon on any number of Devices that you control;

  • Maintain up to five (5) active Activations per license, unless your Order Confirmation states a different limit;

  • Use Photon for personal purposes or your organisation's internal business purposes; and

  • Manage active Activations through Photon's built-in license-management functionality.

 

The Activation limit is not a measure of simultaneous or concurrent use. Each different operating-system user and Device combination may count as a separate Activation and remains active until removed.

 

If your Order Confirmation describes the license as perpetual or lifetime, you may continue using the version of Photon supplied to you for an unlimited period, subject to this Agreement. A perpetual license does not automatically include future paid major versions, services, or features unless Neuralmoon expressly states otherwise.

 

If your Order Confirmation specifies a fixed or recurring term, the license continues only for that term and subject to any renewal or cancellation information presented at checkout.

 

4. Activation and device management

 

Initial activation requires an internet connection. Photon may also contact our licensing system during later validation and deactivation requests.

 

You may:

 

  • View the activated user and Device records associated with your license;

  • Remove an Activation to release its place for another user or Device; and

  • Contact Neuralmoon if you cannot access the built-in management function.

 

If the Activation limit is reached, you must remove an existing Activation or acquire an additional license before activating another user and Device combination.

 

You are responsible for protecting your product key. Do not publish it or provide it to anyone who is not authorised to use your license.

 

For a perpetual license, if Neuralmoon permanently discontinues the online activation service, Neuralmoon will use commercially reasonable efforts to provide an alternative activation method or another remedy required by applicable law.

 

5. Restrictions and legally permitted use

 

Except as permitted by this Agreement, the applicable license for a Third-Party Component, or mandatory law, you may not:

 

a) Copy, modify, adapt, translate, or create derivative works of the proprietary parts of Photon.

 

b) Reverse engineer, decompile, disassemble, or attempt to discover the source code of the proprietary parts of Photon.

 

c) Circumvent or interfere with activation, license validation, seat limits, security controls, or technical restrictions.

 

d) Rent, lease, sublicense, sell, redistribute, host for third-party use, or make Photon available as a service.

 

e) Share, publish, sell, or unlawfully obtain a product key.

 

f) Remove or alter copyright, trademark, attribution, or proprietary notices.

 

g) Use Photon in violation of applicable law or third-party rights.

 

Nothing in this Agreement restricts rights that cannot lawfully be excluded, including rights under applicable software law to make a necessary backup copy, observe, study, or test the functioning of a program, correct errors, or obtain information necessary for interoperability where the relevant legal conditions are satisfied.

 

The restrictions in this section do not override rights granted by the license of a Third-Party Component.

 

6. Ownership and transfer

 

Photon is licensed, not sold. Neuralmoon and its licensors retain all rights in Photon except those expressly granted under this Agreement. No trademark or branding rights are granted.

 

You may not transfer the license except with Neuralmoon's written permission or where applicable mandatory law permits transfer. Where a lawful transfer of a perpetual license is made:

 

  • The entire license must be transferred;

  • You must stop using Photon and delete or uninstall all copies under that license;

  • You may not retain or divide any Activation rights; and

  • The recipient must accept this Agreement.

 

7. Third-Party Components

 

Third-Party Components are licensed by their respective rights holders under their own terms. Those terms control your rights in the relevant component and may permit activities that this Agreement otherwise restricts.

 

The exact component, copyright, attribution, license, source-availability, and notice files applicable to each Photon release are distributed with the Software in its third-party notices and licenses materials. Release-specific notices control over any abbreviated description elsewhere.

 

Photon may include, depending on platform and release:

 

  • Commercial Qt and Qt for Python components;

  • Components under permissive licenses such as MIT, BSD, Apache, HPND, Artistic, and Python Software Foundation licenses;

  • Components or native libraries under licenses such as CDDL, LGPL, MPL, and other open-source licenses;

  • Fonts, colour profiles, and data under attribution or share-alike licenses; and

  • Corresponding source or source-availability information where required.

 

Qt for Python components supplied under Neuralmoon's commercial agreement with The Qt Company are distributed under that commercial arrangement. Separate third-party materials included within Qt remain governed by their own notices.

 

Third-Party Components may include warranty and liability disclaimers from their licensors. Nothing in this Agreement reduces rights granted to you by their licenses.

 

8. Updates, compatibility, and support

 

Photon may check for and offer Software or component updates. You should install security and conformity updates within a reasonable time after being informed that they are available.

 

Neuralmoon will provide updates, including security updates, where required by applicable law. Unless your Order Confirmation states otherwise:

 

  • A license does not guarantee access to every future feature or paid major version;

  • Compatibility with future operating-system, hardware, or third-party software changes is not guaranteed beyond applicable legal requirements; and

  • Support is provided through the contact details in Section 15 and does not include a guaranteed response time.

 

Your statutory rights concerning conformity, necessary updates, and remedies are not affected.

 

9. Privacy and licensing data

 

Photon processes license and device information to activate and validate licenses, manage Activations, provide updates, protect against abuse, and support users. This includes an operating-system user name, computer name, operating-system type, a locally derived hashed device identifier, Photon version, product key, licensing records, and necessary connection data.

 

The source hardware or system value used to create the hashed device identifier is processed locally and is not sent to Neuralmoon. Infrastructure, database, communications, and other service providers may process relevant information on Neuralmoon's behalf.

 

The Neuralmoon Photon Privacy Policy explains the data, purposes, legal bases, recipients, transfers, retention, and your rights. It is published on Neuralmoon's website. The Privacy Policy is a notice and does not replace or limit this Agreement or your statutory rights.

 

License-related processing necessary to perform this Agreement is not based on consent. If you do not provide the required licensing information, Photon may be unable to activate or validate the license.

 

10. Consumer rights and limited warranty

 

If you are a Consumer, Photon must conform to this Agreement and to applicable mandatory consumer law. Depending on the circumstances, statutory remedies may include bringing Photon into conformity, a proportionate price reduction, or termination and reimbursement.

 

Nothing in this Agreement excludes, restricts, or replaces:

 

  • Mandatory rights concerning digital content, conformity, updates, or remedies;

  • A statutory guarantee or warranty that applies to your purchase; or

  • Any other right that cannot lawfully be waived.

 

To the maximum extent permitted by applicable law, Neuralmoon does not promise that Photon will be uninterrupted, error-free, compatible with every configuration, or suitable for a purpose that was not agreed or reasonably expected.

 

Third-Party Components are also subject to the warranty terms and disclaimers in their respective licenses.

 

11. Limitation of liability

 

Nothing in this Agreement excludes or limits liability for:

 

  • Fraud or fraudulent misrepresentation;

  • Wilful misconduct or gross negligence;

  • Death or personal injury where liability cannot lawfully be excluded;

  • Breach of mandatory consumer rights; or

  • Any other liability that applicable law does not permit the parties to exclude or limit.

 

Subject to the paragraph above and to the maximum extent permitted by applicable law, Neuralmoon and its licensors are not liable for indirect, incidental, special, or consequential loss that was not reasonably foreseeable when the Agreement was formed.

 

For users acting in the course of a business, and to the maximum extent permitted by law, Neuralmoon's total aggregate liability arising from the license is limited to the amount paid for the affected license. This business limitation does not apply to Consumers where mandatory law provides otherwise.

 

12. Termination

 

This Agreement remains effective for the applicable license term unless terminated.

 

Neuralmoon may terminate the license for a material breach. Where the breach can reasonably be corrected, Neuralmoon will normally provide notice and at least fourteen (14) days to correct it. Neuralmoon may act immediately where necessary to address fraud, unlawful key distribution, deliberate circumvention, security threats, or a breach that cannot reasonably be corrected.

 

After termination, you must stop using Photon and delete or uninstall copies controlled by you, except where applicable law permits otherwise. Terms concerning ownership, Third-Party Components, liability, governing law, and provisions intended to survive will continue to apply.

 

Termination by Neuralmoon does not remove any statutory remedy you may have.

 

13. Refunds and withdrawal rights

 

Neuralmoon offers a commercial fourteen-day money-back guarantee on direct Photon purchases. You may request a full refund within fourteen (14) days after purchase by emailing info@neuralmoon.ai with your purchase email address and transaction details.

 

Eligible refunds will be issued without undue delay, normally within five to seven business days and no later than fourteen days after Neuralmoon receives the request. The refund will ordinarily use the original payment method unless you expressly agree otherwise. Neuralmoon may deactivate the refunded product key.

 

This commercial guarantee is additional to, and does not limit, statutory withdrawal, conformity, refund, or other consumer rights. Where a statutory withdrawal right applies to digital content, the withdrawal information and any request for immediate supply presented at checkout also apply.

 

14. Governing law and general terms

 

This Agreement is governed by Greek law. If you are a Consumer, this choice does not deprive you of mandatory protections provided by the law that would apply in your country of habitual residence without this choice. Courts and dispute-resolution bodies have jurisdiction as determined by applicable law.

 

If any provision is found invalid or unenforceable, it will apply to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.

 

Neuralmoon may update this Agreement for future purchases or future Software versions. A material change to an existing license will apply only where legally permitted and after any notice or renewed acceptance required by law.

 

This Agreement, the applicable Order Confirmation, and the third-party licenses constitute the agreement governing your use of Photon. The Privacy Policy separately explains how personal data is processed.
